Terms of Service for Zenith

Welcome to Zenith! These Terms of Service ("Terms", "ToS") govern your use of the Zenith mobile application (the "App" or "Service") provided by Andrew Zuo ("we", "us", or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the App.

1. Description of Service

Zenith is an email application designed to provide a unified inbox for multiple email accounts. Key features include AI-powered email summarization and bundling, IMAP and SMTP support for various email providers, including Gmail. The App aims to simplify email management with features like robust unsubscribing, blocking, email pinning, archiving, and text-to-speech. Future features may include email snoozing and reminders.

2. User Accounts and Responsibilities

To use Zenith, you will connect existing email accounts. You are responsible for maintaining the confidentiality of your email account credentials (including any app-specific passwords) and for all activities that occur under your accounts as accessed through Zenith. You agree to use the Service in compliance with all applicable laws and the terms of your email service providers.

3. Subscription, Fees, and Payment

Zenith is free to download. Access to certain features, including AI-powered email scanning and summarization, requires an active subscription.

• Standard Plan: Currently, we offer a Standard Plan at $9.99 USD per month, billed annually. This plan includes a specific number of AI email scans (e.g., 50 scans of recent emails within the last 24 hours, and 50 scans of other emails per month, subject to change).
• Billing: Subscriptions are billed in advance on an annual basis and are non-refundable except as required by law or as explicitly stated by us.
• Changes: We reserve the right to change our subscription plans or adjust pricing for our Service or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes or changes to your subscription plan will take effect following notice to you.
• Usage Limits: Your use of AI features is subject to the usage limits of your chosen subscription plan. We reserve the right to limit or throttle usage that exceeds these limits.

Additional subscription tiers with more features or higher usage limits may be introduced in the future.

4. Prohibited Conduct and Termination

You agree not to misuse the Service or help anyone else to do so. Specifically, you agree not to do any of the following in connection with the Service:

• Probe, scan, or test the vulnerability of any system or network;
• Breach or otherwise circumvent any security or authentication measures;
• Attempt to decompile, reverse engineer, disassemble, or otherwise derive the source code of the App or its underlying API, unless expressly permitted in writing by us or as permitted by applicable law;
• Spoof requests or manipulate identifiers to disguise the origin of any information transmitted through the Service;
• Attempt to bypass or circumvent any rate limits or usage restrictions imposed on the Service or its API;
• Use any automated systems or software to extract data from the Service or its API for any purpose not expressly permitted;
• Use the API or Service to scan, process, or interact with any content that is not a legitimate email communication belonging to you or for which you have explicit authorization;
• Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the Services;
• Use the Service for any illegal or unauthorized purpose, or engage in, encourage, or promote any activity that violates these Terms.

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

5. Intellectual Property, Trademarks, and User Content

The Service, including its name "Zenith," logo, original content (excluding User Content as defined below), features, and functionality, are and will remain the exclusive property of Andrew Zuo and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Other product names, company names, logos, and any other trademarks or service marks mentioned, displayed, or otherwise used in the Service (such as Google, Gmail, Zoho, Outlook, Yahoo, etc.) are the property of their respective owners. Use of these third-party trademarks within the App, such as email provider logos to differentiate account types, is for referential and interoperability purposes only and does not imply any affiliation with or endorsement by such third parties.

You retain all ownership rights to the content of your emails and any attachments ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free, worldwide license to access, use, process, reproduce, and transmit your User Content solely for the purpose of providing, maintaining, and improving the Service as described in these Terms and our Privacy Policy, including features like displaying emails and generating AI summaries.

6. Third-Party Services

The App may integrate with or rely on third-party services, such as email providers (via IMAP and SMTP) and Large Language Model (LLM) APIs (e.g., Google Gemini for AI features). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of these third-party services.

7. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; C) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANDREW ZUO, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE (INCLUDING YOUR EMAIL DATA); AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

9. Indemnification

You agree to defend, indemnify, and hold harmless Andrew Zuo and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, where feasible. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Andrew Zuo regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
